Activist Investor Urges Zevia Board to Consider Company Sale

Activist investment firm Kanen Wealth Management has formally proposed that the board of Zevia, a U.S. producer of zero-sugar soft drinks, initiate a thorough review of its corporate strategy, which explicitly includes the potential sale of the enterprise.

In a communication dated Friday, August 14th, David Kanen, the head of Kanen Wealth Management, articulated his belief that Zevia could fetch between $2.75 and $3.75 per share in a sale scenario. This valuation represents a significant premium, more than double the company's midpoint trading price at the time. As of Thursday afternoon in New York, Zevia's shares were valued at $1.30, having experienced a decline of over one-third year-to-date. Kanen Wealth Management, a notable shareholder, possesses approximately 4% of Zevia, a company known for its stevia-sweetened beverages distributed across the U.S. and Canada. The activist investor contends that despite possessing valuable assets such as nearly two decades of brand recognition and widespread distribution, Zevia has not effectively leveraged the expansion within the contemporary soda market. Kanen pointed out that Zevia's enterprise valuation of around $100 million, or roughly 0.6 times its projected net sales, falls considerably short of acquisition benchmarks seen in similar industry transactions, such as PepsiCo's 2025 acquisition of Poppi.

Kanen further expressed disappointment, stating that Zevia failed to participate in the robust growth of the modern soda category, despite ample time and substantial capital investment, resulting in a diminished business footprint. The investor asserts that the company has had sufficient opportunity to bridge this performance gap but has not succeeded. Kanen emphasizes that the inherent value of the company is undeniable, but he believes this value can only be realized through a sale, rather than through prolonged attempts to improve performance. Kanen also raised concerns regarding Zevia's corporate governance, specifically referencing the June appointment of board member Alexandre Ruberti as president and CEO, following Amy Taylor's departure, without a disclosed external search process. In response, Zevia affirmed its commitment to transparent dialogue with all shareholders and expressed appreciation for their feedback. The company noted that its board and management consistently evaluate strategic priorities and growth opportunities to enhance shareholder value and stated that Kanen's recommendations would be carefully considered. This intervention by Kanen Wealth Management follows Zevia's second-quarter earnings report on August 5th, which showed net sales of $45 million, a modest 1.1% increase year-over-year. However, the company's operational loss widened to $2.9 million from $1 million, and its net loss increased to $2.9 million from $0.7 million. Zevia attributed the heightened net loss primarily to increased equity-based compensation, including awards tied to its brand endorsement agreement with rapper Cardi B. Ruberti, on August 5th, outlined the company's aggressive efforts to formulate a strategic plan aimed at accelerating growth and achieving sustainable outcomes, focusing on evolving market strategies, strengthening brand identity, implementing financial discipline, and fostering a performance-driven culture. For the entire fiscal year, Zevia has maintained its financial projections, expecting net sales between $170 million and $175 million, with an adjusted EBITDA loss ranging from $2 million to $4 million. In the preceding year, 2025, the company recorded net sales of $161.3 million and an adjusted EBITDA loss of $4.7 million.

The proactive engagement by an activist investor underscores the dynamic nature of corporate governance and the persistent pursuit of shareholder value. This situation highlights the critical balance companies must strike between long-term strategic development and immediate shareholder returns, particularly when facing market challenges and calls for significant operational changes. Ultimately, such actions can catalyze necessary introspection and strategic realignment, fostering an environment where corporate leadership is held accountable to realize the full potential of its assets for the benefit of all stakeholders.
