Coalition Seeks to Block Paramount-Warner Bros. Merger Through Legal Action

A group known as the 'Block the Merger' coalition has filed an urgent legal petition to oppose the planned consolidation of Paramount and Warner Bros. Discovery. This action precedes a crucial court session in California, where a judge is deliberating on the approval of the substantial $111 billion transaction. The coalition argues that the settlement reached by Paramount with various state attorneys general is insufficient and unenforceable, urging the court to allow interested parties to formally present their objections.

On Thursday morning, the coalition submitted a request for an amicus brief in a federal court in California. This legal instrument permits external parties to offer arguments pertinent to a case. Judge Araceli Martínez-Olguín is currently presiding over the potential approval of the significant merger, which has drawn considerable scrutiny from consumer and advocacy groups.

Members of the coalition articulated their intent to request Judge Martínez-Olguín to grant an opportunity for concerned entities to formally contest the consent decree, which they describe as "weak and unenforceable." This decree was previously agreed upon between state attorneys general and Paramount earlier in the week.

The organizations involved in this legal challenge include The Committee for the First Amendment, Free Press, Freedom of the Press Foundation, Future Film Coalition, and the International Documentary Association. These groups represent a diverse range of interests, united in their concern over the implications of such a large-scale media merger on industry competition, consumer choice, and journalistic independence.

Just days prior, Paramount had finalized an agreement with 12 state attorneys general, resolving an antitrust lawsuit that was initially slated for trial in March 2027. The terms of this settlement included commitments from Paramount to produce a minimum of 30 films annually, establish an independent editorial board for CNN and CBS News operations, and retain ownership of Paramount Studios or Warner Bros. lots in California for at least five years. Despite these provisions, California Attorney General Rob Bonta lauded the settlement as "very strong," a sentiment not shared by the 'Block the Merger' coalition.

A hearing is scheduled for today at 11 AM, during which Judge Martínez-Olguín is expected to address lingering questions regarding the merger. The 'Block the Merger' coalition anticipates that their motion may also be considered and ruled upon during this session. Jessica J. González, co-CEO of Free Press and co-counsel on the motion, expressed disappointment with the current settlement, stating that it leaves the public underserved and that they "deserve our day in court."

The coalition's emergency legal filing underscores ongoing concerns regarding market concentration within the media industry. Their actions aim to ensure that the judiciary thoroughly evaluates the potential antitrust implications of the proposed Paramount-Warner Bros. Discovery merger, advocating for stronger protections for consumers, workers, and the principles of free speech.
